Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Trackintelli Technology Co., Ltd. ("Trackintelli," "we," "us," or "our"), a hardware manufacturer headquartered in China.

By placing a purchase order, accessing our software platforms, downloading our SDKs or APIs, or otherwise engaging with Trackintelli's products and services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use or access our products and services.

These Terms apply exclusively to business-to-business (B2B) transactions. Trackintelli does not engage in direct consumer sales.

Trackintelli offers an integrated hardware and software ecosystem comprising RFID label printers, handheld RFID terminals, and fixed/handheld barcode and RFID scanners. All Products are manufactured in-house and supported by Trackintelli's proprietary middleware and cross-platform SDK suite.

Product specifications, including read range, ingress protection ratings, operating temperature ranges, and certification status, are provided in the official product datasheets available on our website or upon request. Specifications are subject to change without prior notice; however, material changes affecting active Orders will be communicated in writing.

Trackintelli reserves the right to discontinue, modify, or replace any Product or Service at its discretion. In the event of discontinuation of a Product under an active support agreement, Trackintelli will provide a minimum of twelve (12) months' advance written notice and will use commercially reasonable efforts to offer a compatible replacement.

Custom OEM and ODM engagements are governed by separate OEM/ODM agreements, which take precedence over these Terms where conflicts exist.

Order Formation. An Order is deemed accepted only upon Trackintelli's written confirmation (email or signed sales agreement). Verbal commitments do not constitute binding Orders.

Pricing. All quoted prices are valid for thirty (30) calendar days from the date of quotation unless otherwise specified in writing. Prices are exclusive of applicable taxes, duties, freight, and insurance unless explicitly stated.

Payment Terms. Standard payment terms are thirty percent (30%) deposit upon Order confirmation and the remaining seventy percent (70%) prior to shipment, unless alternative terms are agreed in a signed contract. Trackintelli reserves the right to withhold shipment pending receipt of payment.

Overdue Payments. Invoices not settled within the agreed payment period shall accrue interest at a rate of one and a half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is lower, calculated from the due date until the date of actual payment.

Cancellations. Orders cancelled after production commencement may be subject to a cancellation fee reflecting costs already incurred, including materials, tooling, and labor. Cancellation fees will be assessed on a case-by-case basis and communicated in writing.

All intellectual property rights in and to the Products, Software, firmware, antenna designs, RF calibration methodologies, documentation, trademarks, trade names, and marketing materials are and shall remain the exclusive property of Trackintelli or its licensors.

The purchase of hardware does not transfer any intellectual property rights to the Client. Client is granted a limited, non-exclusive, non-transferable right to use the Software solely in connection with the purchased Products for Client's internal business operations and for integration into Client's own solutions delivered to end customers.

Client shall not: (i) reverse engineer, disassemble, or decompile any firmware or Software; (ii) remove or alter any proprietary notices, labels, or marks; (iii) sublicense, sell, or distribute the Software as a standalone product; or (iv) use Trackintelli's trademarks, trade names, or logos without prior written consent.

Where Client provides custom specifications, branding assets, or design inputs for OEM/ODM Products, Client represents and warrants that it holds all necessary rights to such inputs and grants Trackintelli a limited license to use them solely for the purpose of fulfilling the relevant Order.

Trackintelli provides cross-platform SDKs (Android, C#, Web API) and middleware libraries ("Developer Tools") to facilitate integration of its hardware with Client's software platforms, including WMS, MES, and ERP systems.

License Grant. Subject to these Terms, Trackintelli grants Client a limited, non-exclusive, non-transferable, revocable license to use the Developer Tools solely to develop, test, and deploy integrations connecting Trackintelli hardware to Client's own software solutions.

Permitted Uses. Client may integrate the Developer Tools into its commercial solutions delivered to end customers, provided that such solutions are used in conjunction with Trackintelli hardware and Client does not expose or redistribute the Developer Tools as a standalone developer product.

Restrictions. Client shall not: (i) use the Developer Tools to develop products competitive with Trackintelli's hardware or software offerings; (ii) share API credentials or SDK packages with unauthorized third parties; or (iii) use the Developer Tools in any manner that violates applicable laws or regulations.

Updates. Trackintelli may release updates, patches, or new versions of the Developer Tools at its discretion. Continued use of the Developer Tools following a material update constitutes acceptance of the updated terms applicable to such tools.

Limited Hardware Warranty. Trackintelli warrants that all Products will be free from defects in materials and workmanship under normal use and service conditions for a period of twelve (12) months from the date of shipment ("Warranty Period"), unless an extended warranty is specified in the applicable Order.

Warranty Remedies. Trackintelli's sole obligation under this warranty is, at its election, to repair or replace any defective Product returned during the Warranty Period. Client must obtain a Return Merchandise Authorization (RMA) number from Trackintelli prior to returning any Product. Unauthorized returns will not be accepted.

Warranty Exclusions. This warranty does not cover: (i) damage caused by misuse, accident, unauthorized modification, or failure to follow product documentation; (ii) normal wear and tear or consumable components; (iii) damage caused by operation outside specified environmental parameters; or (iv) Products from which original serial numbers or certification labels have been removed or altered.

Technical Support. Trackintelli provides direct access to Field Application Engineers (FAEs) with RF tuning and embedded software expertise. Standard support is available during business hours (GMT+8). Priority and 24/7 support tiers are available under separate service-level agreements (SLAs).

Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, TRACKINTELLI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRACKINTELLI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OR INABILITY TO USE THE PRODUCTS OR SERVICES, EVEN IF TRACKINTELLI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRACKINTELLI'S TOTAL CUMULATIVE LIABILITY TO CLIENT ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO TRACKINTELLI FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

The limitations set forth in this section shall apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, Trackintelli's liability shall be limited to the greatest extent permitted by applicable law.

Each party ("Receiving Party") agrees to hold in strict confidence all Confidential Information received from the other party ("Disclosing Party") and to use such Confidential Information solely for the purposes contemplated by these Terms.

The Receiving Party shall not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party, except to its employees, contractors, or professional advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those set forth herein.

Confidentiality obligations shall not apply to information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) was rightfully known to the Receiving Party prior to disclosure without restriction; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by applicable law or court order, provided the Receiving Party gives prompt written notice and cooperates to seek a protective order.

Confidentiality obligations shall survive termination or expiration of these Terms for a period of five (5) years, except with respect to trade secrets, which shall be protected indefinitely.

Trackintelli's Products are designed and certified for international commercial use. Trackintelli maintains and provides upon request verifiable certifications including CE (Europe), FCC (United States), RoHS (EU Directive), TELEC (Japan), and SRRC (China), as applicable per product model and target market.

Client is solely responsible for ensuring that the import, use, resale, and re-export of Products comply with all applicable laws and regulations in the destination country, including without limitation export control laws, customs regulations, radio frequency licensing requirements, and sector-specific certifications required by end customers.

Client shall not export, re-export, or transfer any Products, Software, or technical data received from Trackintelli to any country, entity, or individual in violation of applicable export control laws and regulations, including but not limited to the Export Administration Regulations (EAR) of the United States and EU export control regulations.

Client agrees to indemnify and hold harmless Trackintelli from and against any claims, penalties, or liabilities arising from Client's failure to comply with applicable export and import laws and regulations.

These Terms remain in effect from the date of first acceptance and continue until terminated in accordance with this section or superseded by a signed master agreement between the parties.

Termination for Convenience. Either party may terminate these Terms upon thirty (30) days' prior written notice, provided that all confirmed Orders in progress shall be completed and settled in accordance with their terms prior to the effective termination date.

Termination for Cause. Either party may terminate these Terms immediately upon written notice if the other party: (i) materially breaches these Terms and fails to cure such breach within fifteen (15) days of receiving written notice; (ii) becomes insolvent, makes an assignment for the benefit of creditors, or becomes subject to bankruptcy or liquidation proceedings; or (iii) engages in fraudulent, deceptive, or illegal conduct.

Effect of Termination. Upon termination, all licenses granted under these Terms shall immediately cease. Client shall promptly cease use of all Developer Tools and, upon request, return or destroy Trackintelli's Confidential Information. Sections relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions, unless a separate written agreement specifies an alternative governing law.

Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiations for a period of thirty (30) days following written notice of the dispute.

Arbitration. If the dispute cannot be resolved through negotiation, it shall be submitted to and finally resolved by arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules in effect at the time of filing. The arbitration shall be conducted in Guangzhou, China, in the English language. The arbitral award shall be final and binding upon both parties.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or Confidential Information pending the outcome of arbitration.

Trackintelli reserves the right to modify these Terms at any time. When material changes are made, Trackintelli will provide at least thirty (30) days' advance written notice via email to the primary contact on record or by posting a prominent notice on its website, with the updated effective date clearly indicated.

Your continued placement of Orders or use of Products, Software, or Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must cease use of Trackintelli's Software and Services and notify Trackintelli in writing.

For active Orders placed prior to a revision's effective date, the Terms in effect at the time of Order confirmation shall govern that specific Order, unless otherwise agreed in writing by both parties.
